Terms of Service
1. Services & Engagement
This Master Services Agreement ("MSA", "Agreement") governs all services provided by Sal's Digital Solutions LLC d/b/a Detroit Signal ("Detroit Signal", "we", "us") to you ("Client"). By electronically signing a proposal, you agree to this MSA and the services and prices listed in that proposal.
Services are defined in your signed proposal and may include website design, Google Business Profile management, local SEO, content creation, advertising management, and related digital marketing services. The exact scope, deliverables, and pricing are specified in your individual proposal.
Detroit Signal reserves the right to subcontract portions of the work to qualified third parties while remaining responsible for the quality and delivery of the agreed services.
2. Payment Terms
Setup fees are due before work begins unless otherwise agreed in writing.
Monthly retainer fees are billed on the first of each month and are due within 7 days of the invoice date. Invoices are sent via email and are payable via the secure payment link provided. Monthly services are provided on a month-to-month basis with no minimum term.
Out-of-scope work requested beyond the signed proposal is billed at $125/hr with prior written approval from Client.
Payments more than 14 days past due may result in suspension of services until the outstanding balance is cleared. Detroit Signal is not liable for any business impact resulting from service suspension due to non-payment.
All fees are in US dollars. Detroit Signal does not offer refunds on setup fees once work has commenced. Monthly fees are not refunded for partial months upon cancellation.
3. Cancellation Policy
Either party may cancel ongoing monthly services with 30 days written notice sent to hello@detroitsignal.com. Notice must be received before the next billing cycle to avoid the following month's charge.
One-time or project-based services are non-cancellable once work has begun. If a project is cancelled at Client's request before completion, Detroit Signal will invoice for work completed to date at the hourly rate of $125/hr.
Detroit Signal reserves the right to terminate services immediately for non-payment, abusive conduct toward our team, or requests to perform illegal or unethical work.
4. Client Responsibilities
Client agrees to:
- Provide accurate business information, access credentials, and assets (logos, photos, copy) in a timely manner
- Review and approve deliverables within 5 business days of submission
- Maintain ownership of any third-party accounts (Google, social media, hosting) and provide Detroit Signal with necessary access
- Promptly notify Detroit Signal of any changes to business operations that may affect deliverables
Delays caused by Client's failure to provide materials or approvals may result in delayed delivery at no fault of Detroit Signal.
5. Intellectual Property
Upon receipt of full payment for any project, Client receives full ownership of the final deliverables (website files, content, graphics) created specifically for Client under this agreement.
Detroit Signal retains ownership of any proprietary tools, templates, frameworks, and processes used to create deliverables. Client receives a perpetual, non-transferable license to use such elements as part of their final deliverable.
Client represents and warrants that all materials provided to Detroit Signal (logos, photos, copy, trademarks) are owned by or properly licensed to Client and do not infringe on any third-party rights.
6. Results & Warranties
Detroit Signal provides professional digital marketing services and makes reasonable efforts to achieve agreed-upon goals. However, Detroit Signal does not guarantee specific rankings, traffic levels, lead volumes, or revenue outcomes, as these are influenced by factors outside our control (Google algorithm changes, market competition, seasonal trends, etc.).
Services are provided "as is" and "as available." Detroit Signal warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.
7. Limitation of Liability
To the maximum extent permitted by law, Detroit Signal's total liability to Client for any claim arising under this Agreement shall not exceed the total fees paid by Client to Detroit Signal in the thirty (30) days immediately preceding the claim.
Detroit Signal is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, even if advised of the possibility of such damages.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information disclosed during the engagement. This obligation survives termination of the agreement for a period of two (2) years.
Detroit Signal may include a brief reference to Client's business in our portfolio or case studies unless Client requests in writing that we do not.
9. Offboarding & Handover
Upon cancellation and payment of all outstanding balances, Detroit Signal will provide a handover package within 10 business days of the effective cancellation date. The handover includes: final website files (if applicable), transfer of any domains or accounts registered on Client's behalf, administrative access to third-party tools, and a written summary of active work at the time of cancellation.
Client is responsible for migrating hosting, email, and any Detroit Signal-provided infrastructure to their own accounts during the handover window. Detroit Signal is not obligated to maintain infrastructure beyond the cancellation effective date.
10. Chargebacks & Payment Disputes
If Client disputes an invoice, Client agrees to contact Detroit Signal in writing at hello@detroitsignal.com within 7 days of the invoice date to attempt a good-faith resolution before initiating a chargeback or payment reversal.
Chargebacks initiated without prior notice, or for services already rendered, may result in immediate suspension of all services, forfeiture of any work in progress, and a $50 administrative fee in addition to the disputed amount. Detroit Signal reserves the right to pursue collection of any reversed payments plus reasonable costs.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law provisions.
Any dispute arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Macomb County, Michigan, under the rules of the American Arbitration Association.
12. Changes to These Terms
Detroit Signal may update this Agreement from time to time. Active clients will be notified of material changes via email at least 30 days before the changes take effect. The version in effect at the time of signing is the version referenced in the signed proposal. Continued use of our services after the effective date of an update constitutes acceptance of the updated terms.
